### Devolver Digital Moves to Delist: A Strategic Return to Private Ownership

Independent gaming powerhouse Devolver Digital is preparing to exit the public markets, signaling a major shift in its corporate structure. The publisher has officially declared its intent to delist from the London Stock Exchange’s AIM market, a move that would effectively transition the company back into private hands.

#### The Path to Privatization
The decision hinges on an upcoming vote by shareholders, which is slated to take place during the company’s Annual General Meeting (AGM) on September 8. Should the motion receive the necessary support, Devolver Digital will officially cease trading on the public exchange on September 16.

This potential transition marks a significant reversal from the company’s initial public offering (IPO) in November 2021. At that time, the publisher entered the market with a robust valuation of £694.6 million (approximately $950 million).

#### Why the Shift? Market Volatility and Valuation Concerns
The leadership team at Devolver Digital has been transparent regarding the motivations behind this pivot. Since their 2021 debut, the gaming industry has navigated a period of intense volatility. Management noted that the company has struggled to meet the aggressive growth benchmarks expected by public market investors, largely due to the broader economic headwinds currently impacting the interactive entertainment sector.

Beyond these operational hurdles, the board of directors maintains that the company’s current stock valuation is fundamentally disconnected from its actual worth. They argue that the public market price fails to capture the true intrinsic value of the label’s portfolio and long-term potential.

#### A Dramatic Decline in Market Cap
The disparity between the company’s initial valuation and its current standing is stark. Since its IPO, Devolver Digital has seen its share price plummet by over 96%. This sharp decline has reduced the company’s market capitalization to roughly £34.64 million ($46.63 million).

For context, this trajectory mirrors the broader “correction” seen across the tech and gaming sectors, where many companies that went public during the pandemic-era boom have faced similar pressures. By returning to private ownership, Devolver Digital aims to insulate itself from the short-term pressures of quarterly earnings reports, allowing the team to focus on long-term creative output rather than satisfying the immediate demands of public shareholders.
